These General Terms and Conditions (T&Cs) govern the use of the website and the engagement of services from Nexus Aiil. By accessing our website or commissioning our AI services, you agree to these terms.

- • "Customer/User": Any person or organization that uses our services
- • "Services": AI consulting, ML model development, automation solutions
- • "Website": All web pages under the nexusaiil.com domain
1. Use of Our Services
1.1 Service Availability
- • Our AI services are offered to professional companies and organizations
- • We strive for the highest availability but cannot give a 100% guarantee
- • Maintenance work will be carried out outside of business hours whenever possible
- • We offer 24/7 emergency support for critical services
1.2 User Requirements
- • Users must be at least 18 years old or represent an organization
- • For organizations, the user must be authorized to represent
- • All information provided must be truthful and complete
- • Users are responsible for maintaining the confidentiality of their login credentials
1.3 Proper Use
- • Services may only be used for lawful purposes
- • No use for discriminatory or harmful applications
- • Compliance with all applicable laws and regulations
- • Respectful interaction with our team and other customers
2. Prohibited Activities
Technical Violations

- • Reverse engineering our AI models
- • Bypassing security measures
- • Distributing malware or viruses
- • Unauthorized access to third-party systems
Legal Violations
- • Violation of copyrights or patents
- • Discriminatory or hateful content
- • Harassment or threats to other persons
- • Distribution of illegal or harmful content
- • Violation of data protection regulations
Consequences for Violations
In case of violations of these T&Cs, we reserve the right to immediately suspend services, terminate contracts, and take legal action. Fees already paid will not be refunded in such cases.
3. Intellectual Property
3.1 Ownership of Content
- • All content on the website remains the property of Nexus Aiil
- • Algorithms, models, and proprietary technologies are protected
- • Customers receive limited usage rights for commissioned services
- • No transfer of ownership rights without an explicit agreement
3.2 Customer Data and Developed Models
- • Customers retain ownership of their provided data
- • Developed ML models become the customer's property upon receipt of payment
- • Nexus Aiil retains rights to generic methods and frameworks
- • Confidentiality agreements protect customer information
3.3 Usage Rights
- • Limited license for personal/business use
- • No distribution without written permission
- • Attribution required when using our content
- • Commercial use only by separate agreement
4. Disclaimer and Warranty
4.1 Warranty
- • We provide services to the best of our knowledge and with the current state of technology
- • No guarantee for specific business results or ROI
- • AI models cannot guarantee 100% accuracy
- • Success depends on data quality and implementation
4.2 Limitation of Liability
- • Liability is limited to the amount of the fees paid for the service
- • No liability for indirect damages or lost profits
- • Exception: intent and gross negligence
- • Customers are responsible for proper implementation
4.3 Service Availability
- • Services are provided "as is" without warranty
- • Maintenance work may lead to temporary unavailability
- • No warranty for uninterrupted or error-free operation
- • Force majeure events may affect services
Important Note: AI services are complex technologies. Results may vary and depend on many factors, including data quality, implementation, and usage.
5. Termination of Contract
Ordinary Termination
- • Project-based services end upon completion
- • Ongoing support contracts with a 30-day notice period
- • Termination must be in writing
- • Work already started will be invoiced
Extraordinary Termination
- • In case of serious contract violations
- • Payment delay of more than 30 days
- • Misuse of our services
- • Immediate effect, no refund
5.3 Consequences of Termination
- • Access to ongoing services will be discontinued
- • Customer data will be deleted according to legal deadlines
- • Developed models remain with the customer (after payment)
- • Confidentiality agreements remain in effect
- • Outstanding invoices become due for immediate payment
6. Dispute Resolution and Applicable Law
6.1 Out-of-Court Dispute Resolution
In case of disagreements, both parties will first seek an amicable solution through direct negotiations.
- • Written notification of the point of dispute
- • 30-day negotiation period
- • If necessary, mediation by a neutral body
6.2 Jurisdiction and Applicable Law
- • Applicable law: Swiss law
- • Exclusive place of jurisdiction: Zurich, Switzerland
- • For international customers: UN Convention on Contracts for the International Sale of Goods is excluded
- • Arbitration according to Swiss arbitration rules is possible
6.3 Severability Clause
Should individual provisions of these T&Cs be ineffective, the validity of the remaining provisions shall not be affected. Ineffective provisions will be replaced by legally permissible ones.
7. Changes and Contact
Changes to the T&Cs
- • We may change these T&Cs at any time
- • Changes will be announced 30 days before they take effect
- • Notification will be via email or a website notice
- • Objection leads to termination of the contract
